Terms and Conditions of Use

Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "Buyer", or "Seller") and Chemarket, governing your access to and use of the Chemarket website, mobile application, and all related services (collectively, the "Platform").

By registering on or otherwise using the Platform, you accept these Terms in full. If you do not agree to any part of these Terms, you must immediately cease using the Platform.

Eligibility

To use Chemarket you must:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction.
  • Have the legal capacity to enter into binding contracts.
  • Not be prohibited from purchasing or handling chemicals under any applicable law or regulation.
  • If acting on behalf of a company or organisation, have full authority to bind that entity to these Terms.

We reserve the right to refuse access or terminate accounts where eligibility requirements are not met.

Accounts & Registration

Access to most Platform features requires a registered account. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your account information.
  • Keep your login credentials confidential and not share them with any third party.
  • Accept full responsibility for all activity conducted under your account.
  • Notify us immediately at support@chemarket.com if you suspect any unauthorised use of your account.

Chemarket reserves the right to suspend or permanently close any account that provides false information or breaches these Terms.

Chemical Compliance & Regulatory Obligations

⚠️ Chemical procurement is subject to strict national and international regulations. Users are solely responsible for ensuring compliance with all applicable laws in their jurisdiction.

The Platform facilitates the sale and purchase of chemicals for legitimate industrial, pharmaceutical, cosmetic, and research applications. Users must:

  • Hold all required licences, permits, and regulatory approvals before purchasing or selling regulated substances.
  • Comply with REACH, GHS, OSHA, and any other local chemical safety regulations applicable to their country.
  • Ensure chemicals are used only for lawful purposes.
  • Not attempt to purchase or list any substance that is banned, controlled, or restricted without the appropriate authorisations.
  • Provide accurate Safety Data Sheets (SDS) and labelling information for all listed products (Sellers).

Chemarket reserves the right to remove any listing and suspend any user account found to be in breach of applicable chemical regulations, without prior notice.

Buyer Obligations

As a Buyer on Chemarket, you agree to:

  • Review product specifications, Safety Data Sheets, and applicable regulations before placing an order.
  • Use purchased chemicals only for their intended and lawful purposes.
  • Ensure your facility is equipped to receive, store, and handle the ordered substances safely.
  • Pay all amounts due in full and on time.
  • Not circumvent the Platform by negotiating or transacting directly with Sellers outside of Chemarket for any order initiated on the Platform.
  • Report any quality discrepancies or delivery issues to Chemarket within 5 business days of receipt.

Seller Obligations

As a Seller on Chemarket, you agree to:

  • List only products that you are legally authorised to sell.
  • Provide accurate, complete, and up-to-date product descriptions, CAS numbers, purity grades, and SDS documents.
  • Dispatch orders within the timelines agreed at the time of sale.
  • Ensure proper packaging and labelling compliant with all applicable transport and chemical safety regulations.
  • Maintain minimum quality standards and honour all warranties or representations made in your listings.
  • Respond to Buyer enquiries and dispute requests in a timely manner.

Chemarket charges a service fee on each completed transaction. Fee details are set out in the Seller Fee Schedule, which forms part of these Terms by reference.

Orders & Payments

All orders placed on the Platform constitute a binding offer to purchase. An order is accepted and a contract formed only when Chemarket or the relevant Seller issues a written order confirmation.

  • Prices are listed exclusive of taxes and shipping unless stated otherwise.
  • Payment must be made via the approved payment methods displayed at checkout.
  • Chemarket holds payments in escrow until successful delivery is confirmed.
  • Orders may be cancelled by the Buyer within 24 hours of placement, provided the Seller has not yet dispatched the goods.
  • Refunds for defective or incorrectly supplied goods are handled under our Refund & Return Policy.

Shipping & Delivery

Sellers are responsible for selecting appropriate carriers and packaging for chemical shipments in accordance with IATA, IMDG, ADR, and other applicable transport regulations. Chemarket is not a freight carrier and assumes no liability for delays, damage, or losses during transit.

Estimated delivery timelines are provided for guidance only. Chemarket shall not be liable for delays caused by customs clearance, carrier issues, or force majeure events.

Intellectual Property

All content on the Platform — including but not limited to the Chemarket logo, interface design, software, databases, and editorial content — is the exclusive property of Chemarket or its licensors and is protected by applicable intellectual property laws.

Users may not copy, reproduce, distribute, or create derivative works from any Platform content without prior written consent. Product images and data submitted by Sellers remain the property of the Seller; by listing on Chemarket, Sellers grant us a non-exclusive licence to display such content on the Platform.

Limitation of Liability

To the maximum extent permitted by law:

  • Chemarket acts as an intermediary marketplace and does not manufacture, inspect, or take title to any chemicals transacted on the Platform.
  • Chemarket shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any products purchased through it.
  • Our aggregate liability to any User for any claim shall not exceed the total fees paid by that User to Chemarket in the three months preceding the claim.
  • Chemarket does not warrant that the Platform will be uninterrupted or error-free.

Nothing in these Terms limits liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

Termination

Chemarket may suspend or terminate your access to the Platform immediately, without notice or liability, if you breach any of these Terms or if we are required to do so by law. You may terminate your account at any time by contacting us; any outstanding obligations (including payment for orders placed) survive termination.

Dispute Resolution

We encourage all Users to contact our support team in the first instance to resolve any dispute informally. If a dispute cannot be resolved within 30 days, the parties agree to submit the matter to binding arbitration under the rules of a mutually agreed arbitration body.

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Chemarket is incorporated. Each party irrevocably submits to the exclusive jurisdiction of the courts of that jurisdiction for matters not subject to arbitration.

Changes to These Terms

We may update these Terms at any time. When we make material changes, we will notify registered Users via email or a prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
